The negotiation as to the formation and funding of the company’s film slate described herein and of the company’s business plan are based on assumptions which may not reflect future results.

This plan document is not an offer to sell any security, nor is it a solicitation of any offer to purchase any security.

Projections (estimates) of costs and revenues from the distribution of motion pictures are subject to many variables and changes over time which cannot be accurately predicted, as it is dependent upon its acceptance by the public.

No representation or warranty is made as to the accuracy or completeness of the information.

Recipient is encouraged to contact its own securities counsel, accounting and tax advisors, as company makes no representation as to the tax, accounting and/or securities law matters which may affect recipient’s decision to participate in the funding of the company and/or with respect to the effect of ownership of an interest in the company as proposed.

Confidentiality
These materials identified as Big Film Factory, llc Overview, Appendix and Financials (“materials”) contain confidential information. The use and distribution of such materials are to be limited as follows:

Limitation on Use
Recipient(s) acknowledge that they will exchange confidential information solely for purposes of funding the film slate (“The Deal”). Recipient(s) agree that the materials or any contents thereof is confidential and will be used only for purposes of facilitating The Deal or matters related to The Deal, and for no other purpose.

Further, the recipients shall not copy, display or disclose the materials or any contents thereof to any other person without the consent of Big Film Factory, llc.

Prior to providing or disclosing the materials, the disclosing party shall first inform such authorized recipient that the materials are to be treated as confidential, and to only be used for the purposes of The Deal.

Any copies of the materials or any contents thereof shall be marked as “Confidential.” Recipient(s) shall then take steps reasonably necessary to ensure that other recipient(s) receiving the materials or any contents thereof also treat it as confidential.
